Terms & Conditions

Terms governing participation in the DScholar Research Consultancy and Analytics Affiliate Program.

Important Notice
By applying for, accessing, registering for, or participating in the DScholar Affiliate Program,
the Affiliate confirms that they have read, understood and agreed to be bound by these Terms and Conditions.

Purpose of the Affiliate Program

The DScholar Affiliate Program allows approved affiliates to promote eligible services offered by
DScholar Research Consultancy and Analytics (OPC) Private Limited and earn commission on qualifying
transactions generated through their assigned affiliate referral links, codes, or other approved tracking mechanisms.

The purpose of the program is to provide affiliates with an opportunity to introduce genuine
prospective customers to DScholar’s services while maintaining professional, transparent, lawful
and ethical promotional practices.

Eligibility

To participate in the Affiliate Program, an applicant must:

  • Provide accurate, complete and current registration information.
  • Be legally capable of entering into a binding agreement.
  • Provide valid payment information and other information reasonably required by DScholar.
  • Agree to comply with these Terms and applicable laws and regulations.
  • Use the Affiliate Program only for lawful and legitimate promotional activities.
DScholar reserves the right, at its discretion, to approve, reject, suspend or terminate any
affiliate application or account.

Independent Affiliate Relationship

The Affiliate is an independent contractor and independent marketing referrer.
Nothing in these Terms creates an employer-employee relationship, partnership, joint venture,
franchise, agency or fiduciary relationship between DScholar and the Affiliate.

The Affiliate has no authority to make commitments, guarantees, warranties, representations,
promises, discounts, refunds or contractual arrangements on behalf of DScholar unless expressly
authorized by DScholar in writing.

Affiliate Commission

Standard Commission Rate
10%

Unless otherwise expressly communicated by DScholar in writing, approved affiliates may earn
10% commission on qualifying transactions for eligible DScholar services.

One-Time Commission:
The standard 10% commission is a one-time commission on the qualifying customer transaction.
Unless DScholar expressly announces otherwise in writing, affiliates shall
not receive commission on subscription renewal payments, recurring payments, repeat purchases
or future purchases made by the same customer.

Payment Eligibility:
The program applies to all eligible services for which payment is completed through the
dscholarresearch.com domain
, subject to these Terms and any service-specific exclusions
communicated by DScholar.

Eligible Services

The Affiliate Program may apply to all eligible DScholar services for which customer payment is
completed through the dscholarresearch.com domain, including:

✓ Research Analytics Services
✓ Data Analytics Services
✓ Publication Support Services
✓ Career Guidance & Counselling
✓ DScholar Web Services
✓ Web Subscription Plans
✓ Other Eligible DScholar Services
DScholar reserves the right to exclude particular services, products, subscriptions, payment
methods, promotional offers or transactions from affiliate commissions.

Qualifying Transactions

A transaction qualifies for commission only when:

  1. The customer reaches DScholar through the Affiliate’s valid referral link or approved referral mechanism.
  2. The transaction is successfully completed.
  3. Payment is actually received by DScholar.
  4. The transaction is not cancelled, refunded, reversed, disputed or subject to a chargeback.
  5. The transaction is not fraudulent or generated through prohibited promotional methods.
  6. The transaction is correctly recorded in the Affiliate tracking system.
  7. The transaction satisfies all applicable requirements of these Terms.
Important:
A click, inquiry, lead, appointment request, quotation request, invoice, order attempt or
abandoned checkout does not itself constitute a qualifying transaction.

Commission Calculation

Commission shall generally be calculated on the eligible transaction amount actually received by
DScholar. Taxes, government levies, payment gateway charges, transaction fees, refunds, discounts,
credits, chargebacks, reversals and other non-eligible amounts may be excluded from commission calculation.

Example:
If an eligible customer transaction is ₹10,000 and the full amount qualifies for commission,
the Affiliate’s commission at 10% would be ₹1,000, subject to these Terms.

Subscription Example:
If a customer purchases a ₹7,500 annual DScholar Web subscription through an Affiliate’s
qualifying referral, the Affiliate may earn ₹750 as the one-time commission. If the customer
subsequently renews the subscription, no additional affiliate commission shall ordinarily be payable
on that renewal unless DScholar expressly provides otherwise in writing.

Refunds, Cancellations & Chargebacks

No final commission shall be payable on transactions that are cancelled, refunded, reversed,
disputed, fraudulent, unpaid or subject to a chargeback.

If a commission has already been credited or paid and the underlying transaction is subsequently
refunded, cancelled, reversed or charged back, DScholar may deduct the corresponding amount from
future commissions, place the amount on hold, recover the amount from the Affiliate, or take other
lawful action necessary to correct the commission account.

Referral Tracking & Attribution

Affiliate attribution shall be determined by DScholar’s affiliate tracking system and associated records.
Tracking may use cookies, referral parameters, referral codes or other technical mechanisms.

DScholar does not guarantee that every referral will be successfully tracked because of browser
restrictions, deleted cookies, device changes, tracking failures, technical interruptions, incorrect links,
customer use of another affiliate’s link or circumstances beyond DScholar’s reasonable control.

DScholar’s affiliate records shall generally be treated as authoritative for determining referral attribution,
subject to correction of demonstrable technical errors.

Self-Referrals & Related Transactions

Affiliates may not use their own affiliate links to purchase services for themselves for the purpose
of generating commission.

DScholar may cancel commissions arising from self-referrals, related-party transactions or transactions
arranged primarily to generate commission.

Prohibited Promotional Practices

Affiliates must promote DScholar honestly, accurately, professionally and lawfully.

The following practices are strictly prohibited:

✕ False or misleading claims
✕ Guaranteeing outcomes not guaranteed by DScholar
✕ Impersonating DScholar
✕ Fake websites or social media accounts
✕ Artificial clicks or fraudulent traffic
✕ Spam or unsolicited bulk messages
✕ Unauthorized discounts or coupon codes
✕ Misuse of DScholar trademarks or branding
✕ Malware, spyware or automated manipulation
✕ Fake reviews or testimonials
✕ Unauthorized paid advertising
✕ Any unlawful promotional activity
DScholar may immediately suspend or terminate an Affiliate for serious violations.

Affiliate Disclosure

Affiliates must clearly disclose their affiliate relationship wherever required by applicable law,
advertising standards or platform rules. Promotional statements must be truthful, accurate and
capable of being substantiated.

Intellectual Property & Brand Use

DScholar retains all rights, title and interest in its company name, trademarks, logos, website content,
graphics, photographs, videos, text, service descriptions, software and other intellectual property.

Affiliates may use approved DScholar promotional materials solely for promoting eligible DScholar
services and subject to any instructions issued by DScholar.

Affiliates may not modify, register, copy, sell, sublicense or otherwise misuse DScholar intellectual
property or create confusingly similar branding without written authorization.

Customer Relationship

Customers referred through the Affiliate Program remain customers of DScholar. Affiliates may not
collect customer payments on behalf of DScholar, issue unauthorized invoices, alter DScholar prices,
promise unauthorized refunds or otherwise interfere with DScholar’s direct relationship with customers.

Commissions shall be processed according to the payment schedule and minimum payout threshold
established by DScholar or displayed within the Affiliate Program dashboard.

Payout Instructions:

Affiliate commissions are paid at a rate of 10% on eligible and successfully completed transactions.
Commissions are subject to verification and are payable only after the applicable refund, cancellation,
chargeback and transaction-verification period.

The minimum payout threshold is ₹1,000. Approved commissions will normally be
processed once per month, subject to successful verification and availability of
complete and accurate payment details provided by the Affiliate.

Transactions that are refunded, cancelled, reversed, disputed, charged back, fraudulent, unpaid,
or otherwise found to be ineligible will not qualify for commission, and any previously credited
commission relating to such transactions may be adjusted against future payouts.

Affiliates are responsible for providing accurate bank/payment information and for their own
applicable tax and regulatory obligations.

DScholar Research Consultancy and Analytics (OPC) Private Limited reserves the right to hold,
adjust, delay or withhold commissions where reasonably necessary for verification, fraud prevention,
compliance, payment reconciliation, investigation or other legitimate business purposes.

Minimum Payout Threshold:
Accumulated commissions below the minimum payout threshold of ₹1,000
shall remain in the Affiliate account and shall be carried forward until the minimum payout
threshold is reached, subject to these Terms.

30-Day Verification Period:
DScholar may retain commissions for a reasonable verification period, normally up to
30 days, to allow for refunds, cancellations, chargebacks, payment verification,
fraud screening and transaction reconciliation. This period may be extended where a transaction
remains subject to an unresolved dispute, investigation or other legitimate verification requirement.

No Guaranteed Payout Date:
Any stated monthly payout schedule is an intended processing schedule and does not constitute
a guarantee of payment on a specific calendar date. DScholar shall not be responsible for
delays caused by banking systems, payment providers, incorrect Affiliate information, verification
requirements, technical issues, regulatory requirements or circumstances beyond its reasonable control.

Taxes

The Affiliate is solely responsible for determining and complying with applicable tax, accounting,
registration, filing and reporting obligations relating to affiliate commissions. DScholar may
deduct or withhold amounts where required by applicable law.

Fraud, Abuse & Investigation

DScholar may investigate any transaction, account, referral or promotional activity where it
reasonably suspects fraud, manipulation, artificial traffic, unauthorized advertising, false claims,
duplicate attribution, payment manipulation, chargeback abuse, identity misuse or violation of these Terms.

During an investigation, DScholar may temporarily hold commissions and restrict access to the
Affiliate account. Invalid, fraudulent or prohibited commissions may be cancelled.

Suspension & Termination

DScholar may suspend or terminate an Affiliate account where it reasonably believes that these Terms
have been violated, fraudulent activity has occurred, customer complaints require investigation,
payment activity requires verification, or the Affiliate’s activities may harm DScholar.

DScholar may also discontinue the Affiliate Program or terminate an Affiliate relationship for legitimate
business, operational, technical or strategic reasons.

Effect of Termination:
Upon termination, the Affiliate must immediately stop using DScholar affiliate links, branding and
promotional materials where instructed and must stop representing themselves as a DScholar Affiliate.

19. No Guarantee of Commission or Income

Participation in the Affiliate Program does not guarantee sales, customers, referrals, traffic,
commissions, income, minimum earnings, recurring income or continued availability of any particular
DScholar service. Affiliate earnings depend entirely on actual qualifying transactions.

Changes to Services & Affiliate Program

DScholar may modify, suspend or discontinue any service, subscription, price, promotional offer,
payment method or Affiliate Program feature at any time.

This may include changes to commission rates, eligible services, tracking methods, payout thresholds,
payout schedules, promotional materials and eligibility requirements. DScholar shall not be liable
for loss of prospective commissions resulting from such changes.

Data & Privacy

Affiliates must handle personal information responsibly and lawfully. An Affiliate must not collect,
store, sell, disclose or misuse customer information obtained through the Affiliate Program.

Where an Affiliate independently collects personal information through their own website, forms or
marketing systems, the Affiliate remains responsible for complying with applicable privacy and
data-protection requirements applicable to those activities.

Confidentiality

Affiliates may receive confidential or non-public information concerning DScholar, its services,
customers, pricing, systems, business operations, strategies or technology. Such information must
be kept confidential and used only for legitimate participation in the Affiliate Program.

Indemnification

To the maximum extent permitted by applicable law, the Affiliate agrees to indemnify, defend and
hold harmless DScholar Research Consultancy and Analytics (OPC) Private Limited, its directors,
officers, employees, consultants, representatives and service providers from claims, losses,
liabilities, damages, penalties, costs and reasonable expenses arising from or relating to:

  • Breach of these Terms;
  • Unlawful or misleading promotional activities;
  • Unauthorized representations;
  • Intellectual property infringement;
  • Misuse of customer information;
  • Violation of applicable law;
  • Fraudulent transactions;
  • Unauthorized advertising; or
  • Claims arising from content created or published by the Affiliate.

Limitation of Liability

To the maximum extent permitted by applicable law, DScholar shall not be liable for indirect,
incidental, special, consequential or punitive losses, including loss of profits, business
opportunities, anticipated commissions, goodwill or data arising from participation in the Affiliate Program.

To the maximum extent permitted by applicable law, DScholar’s aggregate liability arising from the
Affiliate Program shall be limited to the amount of commissions actually paid to the Affiliate during
the six months preceding the event giving rise to the claim.

Force Majeure

DScholar shall not be liable for failure or delay caused by circumstances beyond its reasonable
control, including natural disasters, fire, flood, war, civil disturbance, government restrictions,
regulatory changes, internet or telecommunications failures, cyber incidents, payment gateway
failures, banking failures, hosting failures or third-party service interruptions.

Audit & Records

DScholar may review Affiliate activities, transactions and promotional practices to determine
compliance with these Terms. DScholar may maintain electronic records relating to clicks, referrals,
transactions, commissions, payments and compliance investigations.

27. Electronic Acceptance

Electronic acceptance of these Terms, including clicking an “I Agree”, “Join”, “Register” or similar
button, submitting an Affiliate application, creating an Affiliate account, accessing the Affiliate
dashboard, generating or using an affiliate referral link, or continuing to participate in the Affiliate
Program constitutes acceptance of these Terms, subject to applicable law.

Electronic records may constitute evidence of acceptance and participation in the Affiliate Program.

Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the
Republic of India.

Subject to any mandatory jurisdictional rights available under applicable law, disputes arising
directly between DScholar and an Affiliate concerning the Affiliate Program shall be subject to
the jurisdiction of the competent courts having jurisdiction over the registered office of
DScholar Research Consultancy and Analytics (OPC) Private Limited in Tripura, India.

Nothing in these Terms is intended to exclude any mandatory legal rights or remedies that cannot
lawfully be excluded.

29. Severability

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision
shall be interpreted or modified to the minimum extent necessary to make it enforceable where legally
permissible. The remaining provisions shall continue in full force and effect.

30. Modification of These Terms

DScholar may amend, modify, replace or update these Terms at any time. Changes may be communicated
through the Affiliate dashboard, email, website publication, account notification or another reasonable
electronic method. Continued participation after the effective date of revised Terms constitutes
acceptance of the revised Terms.

31. Entire Agreement

These Terms, together with applicable Affiliate Program rules, commission announcements, policies
and instructions issued by DScholar, constitute the agreement governing participation in the Affiliate
Program and supersede prior understandings concerning the Affiliate Program to the extent of any inconsistency.

Affiliate Acceptance

By clicking “Agree”, “Join”, “Register”, “Accept” or otherwise participating in the DScholar Affiliate
Program, the Affiliate confirms that they have read, understood and agreed to these Affiliate Program
Terms & Conditions.
